Terms of Service

1. Agreement to These Terms
These Terms of Service (“Terms”) govern access to krateiq.com, the KrateIQ early-access program, and the KrateIQ service. By using the website, joining the waitlist, or accessing the service, you agree to these Terms. If you act for a company, you represent that you have authority to bind it.
2. Business Use and Eligibility
KrateIQ is intended for lawful business use by adults who are at least 18 years old. You must provide accurate information, maintain the confidentiality of credentials, and promptly notify us of suspected unauthorized access.
3. Beta and Early Access
KrateIQ is currently an early-stage product. Beta features may be incomplete, changed, suspended, or removed without notice. Availability, capacity, data coverage, and results may vary. We may limit or revoke beta access to protect users, systems, or third-party platforms.
4. Seller Authorization
You may connect only seller accounts that you own or are expressly authorized to administer. You are responsible for maintaining valid Amazon account permissions and for revoking KrateIQ access when it is no longer required. You must not provide credentials, tokens, or access belonging to another party without authority.
5. Acceptable Use
You may not use KrateIQ to violate law, Amazon policies, supplier agreements, intellectual-property rights, privacy rights, or platform restrictions; upload malicious code or unnecessary sensitive data; probe or disrupt the service; bypass access controls or usage limits; reverse engineer protected portions of the service except where law expressly permits; resell unauthorized access; or use outputs to mislead customers, suppliers, Amazon, or other parties.
6. Your Content
You retain ownership of supplier catalogs, notes, and other content you submit. You grant Zerionyx a limited, non-exclusive license to host, process, reproduce, and transform that content only as necessary to provide, secure, support, and improve the service. You represent that you have the rights and authority needed to provide the content.
7. Amazon and Other Third-Party Services
KrateIQ may interoperate with Amazon services and other third-party systems. Those services are governed by their own terms and policies. KrateIQ is not affiliated with or endorsed by Amazon. We do not control third-party availability, data accuracy, policy changes, account restrictions, or marketplace decisions.
8. Analytical Outputs and Seller Responsibility
Matches, pricing signals, fees, margins, sales estimates, restriction context, and other outputs are estimates or decision-support information, not guarantees. Data may be delayed, incomplete, or incorrect. You remain solely responsible for verifying listings, restrictions, invoices, intellectual-property risk, supplier authorization, costs, taxes, inventory, demand, profitability, and compliance before purchasing or listing any product. KrateIQ does not provide legal, tax, investment, or financial advice.
9. Pricing and Payment
Selected early-access beta users may use the beta at US$0 per month with no paid add-ons during beta. Public pricing will be published before general availability. We will not charge a beta user without presenting applicable pricing and obtaining the authorization required for payment.
10. Intellectual Property
KrateIQ, its software, design, documentation, models, workflows, branding, and related materials are owned by Zerionyx LLC or its licensors and are protected by applicable law. Except for the limited right to use the service under these Terms, no rights are transferred to you.
11. Feedback
If you provide suggestions or feedback, you grant Zerionyx a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.
12. Confidentiality
Each party will use reasonable care to protect non-public business information received from the other and will use it only for the relationship contemplated by these Terms, except where disclosure is authorized or legally required.
13. Privacy and Data Protection
Our Privacy Policy explains how we handle personal information and seller-authorized data. You agree not to submit data that KrateIQ does not request or that you are not authorized to provide.
14. Suspension and Termination
You may stop using KrateIQ at any time and may request account deletion. We may suspend or terminate access for security risk, policy violation, unlawful use, nonpayment after paid plans launch, third-party platform requirements, or discontinuation of the service. Provisions that by their nature should survive will remain effective after termination.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRATEIQ AND ALL BETA FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ZERIONYX DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. WE DO NOT GUARANTEE PROFITS, APPROVALS, UNGATING, LISTING ELIGIBILITY, SALES, DATA COMPLETENESS, OR UNINTERRUPTED OPERATION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERIONYX AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, INVENTORY VALUE, OR BUSINESS OPPORTUNITY. ZERIONYX’S TOTAL LIABILITY ARISING FROM OR RELATING TO KRATEIQ WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID FOR KRATEIQ DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Zerionyx and its personnel from third-party claims, losses, and reasonable expenses arising from your content, your products or sourcing decisions, your violation of these Terms, or your violation of law, third-party rights, Amazon policies, or supplier agreements.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Subject to applicable consumer protections that cannot be waived, the state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising from these Terms.
19. Changes
We may update these Terms as the service evolves. The revised Terms will state a new effective date. Material changes may be communicated through the website, service, or email. Continued use after the effective date constitutes acceptance where permitted by law.
